11.1. Direct and Indirect Tax Consequences of Re-Organizations

The following are the main tax consequences of re-organizations:

  • The transfer of goods within a merger or a contribution to a company are exempted from VAT.
  • When goods are transferred due to a merger or a contribution, the amount of the transferred goods exceeding their book value will be subject to capital gains tax. In order to use the new value for depreciation and amortization, the payment of tax has to be proved.
  • Transfer of shares is subject to capital gains tax.
