2.1. Main Formation Requirements

The establishment of the company types outlined in Sec. 1. involves a number of steps and requires registration/approval with multiple government agencies. The following outlines the basic requirements for establishment:

  • Submission of four alternative company names to the Ministry of Industry & Commerce for verification and approval
  • Submit complete application form with the draft memorandum and articles of association, along with certain other documents depending on the nature of the shareholder(s)
  • Corporate shareholders must submit the following:
    • Board resolution for the establishment of the company
    • Memorandum and articles of association
    • Certificate of incorporation
    • Most recent audited financial statements
    • Power of attorney authorizing an individual to sign incorporation documents on behalf of the shareholder(s)
  • Natural persons must submit the following:
    • Copy of passport
    • Bank reference letter
    • Curriculum vitae
    • Power of attorney authorizing an individual to sign incorporation documents on behalf of the shareholder(s)

Once approved by the Directorate of Commerce and Companies Affairs, notarized copies of the Memorandum and Articles of Association must be submitted to the Ministry of Industry and Commerce, and a notice of incorporation is published in the weekly Official Gazette.
