2.1.2. Branch

To form a branch, a foreign company is required to submit an application to ASIC in the prescribed form, containing all of the following details:

  • a certified copy of the company’s certificate of its incorporation or registration in its place of origin, or a document of similar effect;
  • a certified copy of its constitution;
  • a list of its directors containing their personal details (i.e. full names – both present and past, date and place of birth and address);
  • if the list of directors includes directors resident in Australia who are members of a local board of directors, a memorandum duly executed by or on behalf of the foreign company which states the powers of those directors;
  • notice of the address of its registered office in the place of origin or its principal place of business in that place; and
  • notice of the address of its Australian registered office.

Where original documents are not in English, the company will be required to provide certified English translations of such documents.

If the above requirements are fulfilled, and the applicable fee is paid, the foreign company’s name will be registered by ASIC and the company will be issued with an Australian Registered Body Number (ARBN).
